1.1 This website at www.bodycatalyst.com.au (Site) is a shopping website where you can browse, select and order products or book services advertised on the Site from BC Leasing Group Pty Ltd (A.C.N 629 064 295) trading as Body Catalyst (Body Catalyst, us or we).
1.2 Please read these terms and conditions before accessing or using the Site. If you are under 18 years of age, then you must obtain your parent or guardian’s consent before accessing and using the Site.
1.3 Your access to and use of the Site, including your order of Products through the Site, is subject to these terms and conditions.
1.4 The terms and conditions also apply to the sale of any Products via methods other than the Site, including sales by telephone, in person or other means, unless otherwise agreed in writing.
2. Disclaimer
The information contained in this Site is provided in good faith on an ‘as is’ basis. Body Catalyst does not represent or warrant to the reliability, accuracy or completeness of the information contained on this Site. To the extent permitted by law, Body Catalyst is not responsible or liable for any Liabilities (direct, indirect or consequential losses and damages) arising in any way (including without limitation negligence) for errors in, or omissions from, the information in this Site.
3. Intellectual Property
3.1 You:
3.1.1 acknowledge that the copyright in the Site, the software, design, text and graphics comprised in the Site, the selection and layout of the Site and the content and materials on the Site (together, the Material) are owned by or licensed to us;
3.1.2 must not modify, copy, adapt, store in a retrieval system, reproduce, upload, post, transmit, sell, distribute in any way or communicate to the public a Material without our prior written consent; and
3.1.3 must not frame or embed in another website any of the material appearing on this Site without our prior written consent.
3.2 You may:
3.2.1 store a reproduction of the content on this Site on your local computer for the sole purpose of viewing the content and Materials; and
3.2.2 print hard copies of the content and Materials for the sole purpose of viewing and purchasing Products but not for any other use, including commercial use.
3.3 This Site, the Products and any ancillary materials or documents owned or used by Body Catalyst in connection with the sale of the Products and promotion of its business contains registered trademarks which are protected by law and other branding, images, content which constitute the intellectual property of Body Catalyst. You must not use any of the marks or trademarks appearing on the Site or our name or the names of our related bodies corporate or any of our intellectual property without our prior written consent.
4. Viruses
4.1 Body Catalyst does not claim that any information (including any files) obtained from or through this Site is free from viruses or other faults or defects.
4.2 You are responsible for scanning any information for viruses.
4.3 You agree that Body Catalyst has no responsibility or liability to you or any other person for any loss or damage (whether direct, indirect, consequential or economic), regardless of cause, negligence or otherwise, which may be the direct or indirect result of any such information.
4.4 If Body Catalyst is found to be liable this will be limited to the cost of supplying the information again.
5. Compliance with these Terms and Conditions
5.1 You agree to bound by, and comply with, these terms and conditions by:
5.1.1 using the Site;
5.1.2 completing your registration through the Site; and/or
5.1.3 obtaining or ordering Products from us using the Site or by any other method of sale.
6. Changes to these Terms and Conditions
6.1 If you have an order that has been accepted by us, the terms and conditions that will apply to that order are the terms and conditions that applied at the time you placed your order. We cannot vary the terms and conditions which apply to a given order after that order is accepted by us.
6.2 Subject to clause 6.1, we may change these terms and conditions at any time, and such modifications will be effective as soon as they are posted. By continuing to use the Site after these terms and conditions have been modified, you agree to be bound by the changes to these terms and conditions.
7. Registration
You may complete the customer registration process through the Site before placing an order for Products through the Site. Any personal information that you give us will be held and used by us in accordance with our Privacy Policy contained on this Site.
8. Placing an Order for Products
8.1 You may order Products by selecting and submitting your order through the Site in accordance with these terms and conditions.
8.2 Any order placed through this Site for a Product is an offer by you to purchase the particular Product for the price notified (including the delivery and other charges and taxes) at the time you place the order.
8.3 We may ask you to provide additional details or require you to confirm your details to enable us to process any orders placed through the Site.
8.4 You agree to provide us with current, complete and accurate details when asked to do so by the Site.
9. Acceptance or Rejection of an Order
9.1 We reserve the right to accept or reject your order for any reason, including (without limitation) if the requested Product is not available, if there is an error in the price or the product description posted on the Site or in your order.
9.2 Each order placed for Products through the Site or any other means that we accept results in a separate binding agreement between you and us for the supply of those Products. For each order accepted by us, we will supply the Products in that order to you in accordance with these terms and conditions.
9.3 If we reject an order placed through the Site, then we will endeavour to notify you of that rejection at the time you place the order or within a reasonable time after you submit your order.
10. Cancelling an Order (by Us)
10.1 Prior to the dispatch of an order, we may cancel all or any part of an order (including any orders that we have accepted) without any liability to you for that cancellation if:
10.1.1 the requested Products in that order are not available; or
10.1.2 there is an error in the price or the product description posted on the Site or in any other sales platform in relation to the relevant Product in that order;
10.1.3 we consider that the postage price selected in the checkout does not match the applicable price for the delivery address;
10.1.4 your order weight exceeds our maximum postal delivery weight (in which case we will contact you to make alternative arrangements where possible); or
10.1.5 that order has been placed in breach of these terms and conditions.
10.2 If we do so, then we will endeavour to provide you with reasonable notice of that cancellation, and will not charge you for the cancelled order if we cancel it before the delivery date or if you are not at fault or in breach of these terms and conditions.
11. Cancelling an Order (by You)
11.1 Orders may not be cancelled once submitted via this Site or via any other method of sale. Should you wish to correct your delivery address or contact details prior to the order being dispatched, please Contact Us and we will endeavor to assist you.
12. Delivery of Products
12.1 Please see our Shipping policy for information on delivery times and process. Please note that any timeframes indicated are estimates only.
12.2 Shipping costs will be calculated at the time of checkout.
13. Prices, Fees and Charges
13.1 The prices of Products and delivery and other charges displayed on this Site are current at the time of issue, however, Body Catalyst reserves the right to change prices at any time before we accept an order from you.
13.2 All prices shown on this Site are in Australian Dollars (AUD).
13.3 We will charge you, and you agree to pay, the following fees and charges in relation to an order that we accept (as applicable):
13.3.1 the purchase price of each Product that is ordered;
13.3.2 the delivery fee for delivering the Products to you; and
13.3.3 any other fees and charges set out in these terms and conditions.
13.4 All fees and charges identified in these terms and conditions and all prices for the Products as shown on the Site are inclusive of GST (unless otherwise indicated).
14. Your Obligations
14.1 You covenant and warrant that:
14.1.1 all information and data provided by you to us through the Site (including as part of the customer registration process) or otherwise is true, accurate, complete and up to date;
14.1.2 the person receiving the Products at the Delivery Address is authorised by you to do so;
14.1.3 you have and will comply with all relevant laws relating to your use of the Site and your placement of any order to us;
14.1.4 you are responsible for any costs associated with your access to or use of the Site, including Internet access fees;
14.1.5 you will check the labels on the Products before consumption or use; and
14.2 You must not:
14.2.1 use the Site for any activities that breach any laws, infringe a third party’s rights or are contrary to any relevant standards or codes;
14.2.2 use the Site in a manner or way, or post to or transmit to or via the Site any material, which interferes with other users or our other customers or defames, harasses, threatens, menaces or offends any person or which prevents any other person from using or enjoying the Site;
14.2.3 make fraudulent or speculative enquiries, purchases or requests through the Site;
14.2.4 use another person’s details without their permission or impersonate another person when using the Site;
14.2.5 post or transmit any obscene, indecent, inflammatory or pornographic material or any other material that may give rise to civil or criminal proceedings;
14.2.6 tamper with or hinder the operation of the Site;
14.2.7 knowingly transmit any viruses, worms, defects, trojan horses or similar disabling or malicious code to the Site;
14.2.8 use any robot, spider, site search and retrieval application or other mechanism to retrieve or index any portion of the Site;
14.2.9 modify, adapt, translate or reverse engineer any portion of the Site;
14.2.10 remove any copyright, trade mark or other proprietary rights notices contained in or on the Site;
14.2.11 reformat or frame any portion of the web pages that are part of the Site;
14.2.12 create accounts by automated means or under false or fraudulent pretences;
14.2.13 use the Site to violate the security of any computer or other network or engage in illegal conduct;
14.2.14 take any action that imposes or that would, in our reasonable opinion, result in an unreasonable or disproportionately large load on our infrastructure;
14.2.15 use the Site other than in accordance with these terms and conditions; or
14.2.16 attempt any of the above acts or engage or permit another person to do any of the above acts.
15. Warranty and Liability
15.1 Body Catalyst accepts liability for all legal guarantees and warranties expressed or implied to the transactions under the Australian Consumer Law in Schedule 2 of the Competition and Consumer Act 2010 (Cth), or any other legislation (such as the Fair Trading Acts (or equivalent legislation) in each State and Territory) the effect of which cannot be excluded.
15.2 Where we are permitted by law (and subject to clause 15.1):
15.2.1 we do not warrant or represent the suitability of the Site or a Product for any purpose; and
15.2.2 we will not be liable to you for indirect and consequential loss (including without limitation for loss of revenue, loss of profits, failure to realise expected profits or savings and any other commercial or economic loss of any kind) or loss or corruption of data, in contract, tort, under any statute or otherwise (including negligence) arising from or connected to the Site or the product.
15.3 Our liability to you for loss or damage of any kind arising out of this agreement or in connection with the relationship established by it is reduced to the extent (if any) that you cause or contribute to the loss or damage. This reduction applies whether our liability is in contract, tort (including negligence), under any statute or otherwise.
16. Returns
16.1 Unless you notify Body Catalyst to the contrary by email within seven (7) days of delivery of any Products and such notification is confirmed by return email within seven (7) days of its receipt by Body Catalyst, the Products shall be deemed to have been accepted by you.

17. Termination and/or Suspension of Account
We may terminate this agreement for convenience at any time on notice to you. Without qualifying the foregoing, we may immediately suspend, terminate or limit your access to and use of the Site and (where relevant) your account if we reasonably suspect that you have commit fraudulent act and/or you breach these terms and conditions.
18. General Provisions
18.1 If the whole or any part of a provision of this agreement is void, unenforceable or illegal in a jurisdiction it is severed for that jurisdiction. The remainder of this agreement has full force and effect and the validity or enforceability of that provision in any other jurisdiction is not affected. This clause has no effect if the severance alters the basic nature of this agreement or is contrary to public policy.
18.2 This agreement is governed by the laws of Australia. Each party submits to the non-exclusive jurisdiction of the courts of that place.
19. Privacy Policy and Your Personal Information
Refer to the Privacy Policy, which form part of these terms and conditions.
20. Content Release
20.1 You hereby assign full copyright of the Content to Body Catalyst together with the right and permission to license the Content and/ or to take, use, re-use, publish and re-publish the Content, either separately or together, either wholly or in part, or composite or distorted in character or form, without restriction as to changes, in conjunction with your own or a fictitious name, or reproductions thereof in colour or otherwise, made through any medium, and in any and all media now or hereafter known, specifically including but not limited to print media and distribution and sale over the internet, illustration, promotion (including through Body Catalyst’s social media channels such as linkedin, facebook, instagram and twitter and EDM to Body Catalyst’s database), art, marketing and packaging for any product or service, editorial, advertising, trade, or any other purpose (except defamatory). You agree that the Content may be combined with other images, text, graphics, film, audio, audio-visual works; and may be cropped, altered or modified. You understand that the Content may be licensed to businesses and individuals nationally and internationally for a fee.
20.2 To the extent that the Content contains information about your medical diagnosis and treatment, it would be regarded as sensitive data, which by law requires your explicit consent to allow us to process it. You grant Body Catalyst the right to disclose these materials to third parties and media.
20.3 It is agreed that your personal information (save as expressly provided for in these Terms) will not be made publicly available but may only be used directly in relation to the licensing of the Content where necessary (e.g. to defend claims, protect rights or notify trade unions) and may be retained as long as necessary to fulfil this purpose, including by being shared with assignees of Body Catalyst.
20.4 You hereby release Body Catalyst (and Body Catalyst’s assigns) from all claims and liability relating to the Content. You agree that you have no rights to the Content, and all rights to the Content belong to Body Catalyst (and the Body Catalyst’s assigns). You agree that this release is irrevocable, worldwide and perpetual.
21. Definitions
21.1 Capitalised terms used are defined in these terms and conditions.
21.2 In these terms:
21.2.1 “Content” means all photographs, film, audio, video or other recording, still or moving, taken of you before, during or after the Treatments and any of your written or spoken testimonials;
21.2.2 “GST” has the meaning it has in the A New Tax System (Goods and Services Tax) Act 1999 (Cth)
21.2.3 “Liabilities” means all direct and/or indirect liability for: costs; damages; losses; claims, causes of action, accidents; injuries; deaths; law and traffic violations; and expenses including but not limited to legal fees.
21.2.4 “Product’ means each good or service that is advertised on the Site including memberships.
BEFORE AND AFTER CAMPAIGN
Body Catalyst will take before and after photos to monitor the changes in your body as you undergo treatments.
These photos may be used in promotional and educational material such as on the website, flyers, distributions, social media posts and campaigns, posters, in-clinic advertising etc. Body Catalyst will never disclose the name of the person in the photos and ensure all tattoos and identifiable markings are covered to hide the identity of the person in the photo.
Body Catalyst may also use any written testimonials from you for the purpose of creating educational and promotional material.
To the extent that this material contains information about your medical diagnosis and treatment, it would be regarded as sensitive data, which by law requires your explicit consent to allow us to process it. You grant Body Catalyst the right to disclose these materials to third parties and media.
You understand Body Catalyst may, and has the right to, crop and/or collage the material with others and understand that the material may be transmitted over the internet.
You agree that to release and forever discharge Body Catalyst, its agents, officers and employees, from any and all claims and demands arising out of or in connection with the use of the material, including but not limited to, any and all claims for invasion of privacy, defamation, or financial compensation and you waive all moral rights that you may have in the material.

Membership Terms & Conditions
Membership Terms & Conditions
Body Catalyst uses a secure third-party payment gateway to make payments as simple and convenient as possible. When your initial payment is processed, your nominated payment method will be securely stored and used for any recurring membership payments. You can update your payment details at any time in store, over the phone, or online.
Applicant, Member, I, you or your means the person completing the Application and applying to become a member of Body Catalyst, and includes the Guardian where the Applicant is under 18 years of age.
Application means the physical or online application form completed by you for a Membership with us.
Body Catalyst, we, our or us means BC Support Office Group Pty Ltd ACN 674 659 851 trading as Body Catalyst, and includes its related entities, employees, contractors, agents and representatives.
Centre or Clinic means the Body Catalyst clinic selected by you as your nominated home clinic, and any other premises from which Body Catalyst provides Services.
Credits means the membership credits allocated to your Membership each month, which may be redeemed for eligible Treatments in accordance with these Terms.
Fees means the weekly or monthly fees payable for your selected Membership tier, as set out in the Application, on our website, in clinic, or as otherwise notified to you in writing.
Membership means one of the Body Catalyst membership tier programs selected by you, including BC Essentials Club, BC Allrounder Club or BC Premium Club, as described in the Application, on our website, in clinic, and in these Terms.
Minimum Term means the minimum three-month membership commitment period that applies to all Memberships.
Services means the Treatments and related services provided by Body Catalyst from time to time.
Treatment means any Body Catalyst treatment, service or appointment offered by us from time to time and available to Members in accordance with their Membership tier.
Unlimited Treatments means eligible LED and/or Tesla treatments included in selected Membership tiers, which do not require the use of Credits and are subject to these Terms.
Suspension means a temporary hold placed on your Membership, either at your request where approved by us, or automatically by us due to failed payments, breach of these Terms, or another reason set out in this Agreement.
Membership Options and Benefits
Membership inclusions, benefits, offers and eligible Treatments may vary from time to time and may be updated by Body Catalyst where reasonably necessary, including due to changes in treatment availability, equipment availability, clinic operations, supplier changes, clinical guidance, safety requirements, or business requirements.
3.1 All Memberships have a Minimum Term of three months.
3.2 During the Minimum Term, you are committed to paying all Fees due for the full three-month period, unless otherwise agreed by Body Catalyst in writing or required by law.
3.3 After the Minimum Term has ended, your Membership will continue on an ongoing month-to-month basis unless cancelled in accordance with these Terms.
3.4 You acknowledge that your Membership is a recurring payment arrangement and that Fees will continue to be charged until your Membership is validly cancelled in accordance with these Terms.
3.5 Three Months means 13 week term
Fees & Direct Debit
4.1 You agree to pay the Fees for your selected Membership in advance according to your selected payment schedule.
4.2 You authorise Body Catalyst and/or its nominated third-party payment provider to debit your nominated card or bank account for all Fees and other amounts payable under this Agreement.
4.3 You are responsible for ensuring that your nominated payment method remains valid and that sufficient funds are available at the time each payment is due.
4.4 You must promptly notify Body Catalyst of any changes to your payment details, including expired cards, cancelled cards, changed bank accounts, or other payment issues.
4.5 If a payment is declined, dishonoured or unsuccessful for any reason, Body Catalyst may reattempt the payment approximately 48 hours after the failed payment.
4.6 If the reattempted payment is also unsuccessful, Body Catalyst may reattempt the payment again approximately 7 days after the original failed payment.
4.7 If payment remains unsuccessful after the second failed payment attempt, your Membership may be automatically suspended without further notice, although Body Catalyst will notify you by email that your account has been suspended.
4.8 While your Membership is suspended:
a. you may not book or receive Membership Treatments;
b. you may not redeem Credits;
c. you may not access Unlimited Treatments;
d. you may not access member-only offers or discounts; and
e. any unused Credits on your account may be forfeited, to the extent permitted by law.
4.9 Suspension of your Membership does not cancel your Membership or remove your obligation to pay any overdue Fees.
4.10 If your Membership remains suspended due to failed or overdue payments, Body Catalyst will make reasonable attempts to contact you using the contact details provided in your Application, including by email and/or SMS.
4.11 If we are unable to contact you, or if you do not respond or bring your account up to date within 60 days of the suspension notice being sent, Body Catalyst may cancel your Membership.
4.12 If you fail to attend a scheduled appointment without providing at least 24 hours’ notice, a $69 non-attendance fee will be charged to your nominated payment method.
4.13 If your Membership is cancelled due to failed or overdue payments:
a. all unused Credits, member offers, Unlimited Treatment access, discounts and other Membership benefits will be forfeited, to the extent permitted by law;
b. you will remain liable for all overdue Fees and any other amounts owing up to the cancellation date; and
c. Body Catalyst may require all outstanding amounts to be paid before you are eligible to commence a new Membership.
Credits for Membership
5.1 Credits accrue monthly in accordance with your selected Membership tier.
5.2 BC Essentials Club Members receive 4 Credits per month.
5.3 BC Allrounder Club Members receive 6 Credits per month.
5.4 BC Premium Club Members receive 6 Credits per month.
5.5 Credits may only be used for eligible Body Catalyst Treatments as determined by Body Catalyst from time to time.
5.6 Membership Credits may only be redeemed at your nominated home clinic. Credits are not interchangeable between Body Catalyst clinics and cannot be used at another clinic unless Body Catalyst agrees otherwise in writing.
5.7 The number of Credits required for each Treatment may vary depending on the Treatment type, clinic, equipment, promotional arrangements, or changes to Body Catalyst’s treatment menu.
5.8 Body Catalyst reserves the right to change the Treatments available for redemption and/or the number of Credits required to redeem Treatments from time to time.
5.9 Credits are valid for 30 days from the date they are issued.
5.10 Any Credits not used within 30 days will automatically expire and cannot be refunded, transferred, extended or exchanged for cash, unless otherwise required by law.
5.11 It is your responsibility to book and attend eligible Treatments and to use your Credits before they expire.
5.12 Failure to use Credits before their expiry date does not entitle you to a refund, extension, transfer, replacement Credit, or any other compensation, unless otherwise required by law.
5.13 Credits are personal to you and cannot be transferred to another person.
5.14 Credits cannot be used to purchase products, gift cards, promotional offers, packages, injectables where applicable, or any other excluded items or services notified by Body Catalyst from time to time.
5.15 Credits cannot be used while your Membership is suspended, cancelled, expired or in arrears.
5.16 Upon cancellation or termination of your Membership, all unused Credits will expire on the cancellation or termination date unless otherwise agreed by Body Catalyst in writing or required by law.
5.17 Membership Fees are not refundable for used or unused Credits, unused Membership benefits, missed appointments, expired Credits, or failure to use the Membership.
5.18 Treatments delivered under a Membership are not refundable once provided.
5.19 No refund, credit or compensation will be provided for any Treatment already received under a Membership, unless required by law.
Unlimited LED & Tesla Treatments
6.1 Unlimited LED is included only for Members signed up to BC Allrounder Club and BC Premium Club.
6.2 Unlimited Tesla is included only for Members signed up to BC Premium Club.
6.3 Unlimited Treatments do not require the use of Credits.
6.4 Unlimited Treatments are subject to appointment availability, equipment availability, clinic capacity, staffing availability, and suitability for treatment.
6.5 Unlimited Treatments may only be used at your nominated home clinic and cannot be used across multiple Body Catalyst clinics unless Body Catalyst agrees otherwise in writing.
6.6 Unlimited Treatments are for the individual Member only and cannot be transferred, shared, gifted or used by another person.
6.7 Unlimited Treatments must be used in accordance with Body Catalyst’s clinical protocols, treatment guidelines, safety requirements and professional recommendations.
6.8 Body Catalyst may refuse, limit, reschedule or modify Unlimited Treatments where we reasonably determine that treatment is not clinically appropriate, safe, available, or suitable for your goals, health, wellness or treatment plan.
6.9 Unlimited does not mean unlimited daily access or unlimited access outside safe treatment frequency. Treatment frequency will be determined by Body Catalyst based on the relevant treatment type, safety guidelines, clinical recommendations, and your individual suitability.
6.10 Unlimited Treatments cannot be exchanged for Credits, cash, refunds, products, alternative Treatments, or discounts.
6.11 Unlimited Treatments are not available while your Membership is suspended, cancelled, expired or in arrears.
Monthly Member Bonus
7.1 Members may receive access to exclusive monthly bonus offers.
7.2 Monthly member bonus offers are set by Body Catalyst at its discretion and may vary each month.
7.3 Monthly member bonus offers will be communicated to Members by email or another communication method selected by Body Catalyst.
7.4 Monthly member bonus offers are exclusive to current active Members only.
7.5 Monthly member bonus offers are only valid for the month or period stated in the offer.
7.6 Monthly member bonus offers cannot be carried forward, extended, backdated, transferred, exchanged for cash, or used in a different month unless Body Catalyst expressly agrees in writing.
7.7 Monthly member bonus offers cannot be combined with other promotions, discounts, packages, vouchers or offers unless expressly stated by Body Catalyst.
7.8 Access to monthly member bonus offers is only available while your Membership is active and payments are up to date.
Product Discounts
8.1 Members are entitled to the product discount applicable to their Membership tier.
8.2 BC Essentials Club Members receive 5% off eligible products.
8.3 BC Allrounder Club Members receive 10% off eligible products.
8.4 BC Premium Club Members receive 10% off eligible products.
8.5 Product discounts apply to eligible full-priced products only.
8.6 Product discounts cannot be used with any other promotion, sale, offer, voucher, package, gift card, reward, birthday voucher, or discount unless Body Catalyst expressly agrees in writing.
8.7 Membership product discounts do not apply to Treatments.
Welcome Gift & Birthday Voucher
9.1 Members may receive a welcome gift as part of their Membership.
9.2 Welcome gifts are subject to availability and may vary from time to time.
9.3 Members may receive a birthday voucher based on their Membership tier:
a. BC Essentials Club: $150 birthday voucher;
b. BC Allrounder Club: $100 birthday voucher;
c. BC Premium Club: $250 birthday voucher.
9.4 Birthday vouchers are issued at Body Catalyst’s discretion and are only available to active Members whose payments are up to date.
9.5 Birthday vouchers cannot be used on products, promotional offers, sale items, packages, gift cards, or any other excluded items or services notified by Body Catalyst.
9.6 Birthday vouchers cannot be exchanged for cash, transferred to another person, split across multiple transactions, refunded, extended, or reissued if unused.
9.7 Birthday vouchers must be used in one transaction and within the validity period stated on the voucher.
9.8 A minimum spend may apply to the use of a birthday voucher. The applicable minimum spend will be stated on the voucher or communicated by Body Catalyst.
Pausing Membership
10.1 You may request to pause your Membership for a maximum of 2 weeks in every 3-month period.
10.2 Pause requests must be submitted in writing to your clinic or to Body Catalyst before the requested pause period begins.
10.3 Pause requests are not automatically approved and are subject to Body Catalyst’s confirmation.
10.4 Pauses cannot be backdated.
10.5 During an approved pause, your Membership benefits, Credits, Unlimited Treatments, member offers and product discounts may also be paused.
10.6 Credits remain valid for 60 days from the date they are issued, even if your Membership is paused.
10.7 You are responsible for using any available Credits before pausing your Membership. Credits that expire during a pause period will not be extended, refunded, transferred or reissued unless otherwise agreed by Body Catalyst in writing or required by law.
10.8 Pausing your Membership does not reduce or remove your Minimum Term. Any approved pause may extend the end date of your Minimum Term by the length of the pause.
Cancellation
11.1 You may cancel your Membership after the Minimum Term by giving Body Catalyst at least 30 days’ written notice.
11.2 Cancellation requests must be submitted by email or in writing to your clinic or to Body Catalyst.
11.3 Your Membership will remain active during the 30-day notice period and all Fees due during that notice period remain payable.
11.4 If you request to cancel your Membership during the Minimum Term, Body Catalyst may require you to pay the Fees that would have been payable for the remainder of the Minimum Term.
11.5 Body Catalyst may waive or reduce a cancellation fee in exceptional circumstances, including serious illness, injury, relocation, financial hardship, or another circumstance accepted by Body Catalyst in writing.
11.6 Upon cancellation of your Membership, all unused Credits, member offers, Unlimited Treatment access, discounts and other Membership benefits will expire on the cancellation date unless otherwise agreed by Body Catalyst in writing or required by law.
11.7 Failure to attend appointments, failure to use Credits, failure to use Unlimited Treatments, or failure to access member offers does not cancel your Membership or remove your obligation to pay Fees.
11.8 Membership Fees, used Credits, unused Credits, expired Credits, unused Membership benefits and Treatments already delivered under a Membership are not refundable, unless otherwise required by law.
Termination by Body Catalyst
12.1 Body Catalyst may terminate this Agreement by giving you 7 days’ written notice.
12.2 Body Catalyst may terminate or suspend this Agreement immediately if:
a. you breach these Terms;
b. your payments are overdue;
c. your payment method repeatedly fails;
d. you provide false or misleading information;
e. you misuse Credits, Unlimited Treatments, offers or discounts;
f. you behave in a way that is abusive, threatening, inappropriate or unsafe towards Body Catalyst staff, contractors, clients or other persons;
g. you fail to follow Body Catalyst’s reasonable directions, clinic rules, treatment protocols or safety requirements; or
h. Body Catalyst reasonably considers that continuing to provide Services to you would create a safety, clinical, operational, legal or business risk.
12.3 If Body Catalyst terminates this Agreement due to your breach of these Terms, failed or overdue payments, misuse of Membership benefits, failure to follow Body Catalyst’s reasonable directions, or any other conduct listed in clause 12.2, all unused Credits, member offers, Unlimited Treatment access, discounts and other Membership benefits will be forfeited on the termination date, to the extent permitted by law.
12.4 If Body Catalyst terminates this Agreement under clause 12.2, you will remain liable for all outstanding Fees and any other amounts payable under this Agreement up to the termination date, including any Fees owed during the Minimum Term, to the extent permitted by law..
Appointments
13.1 All Treatments, including Credit-based Treatments and Unlimited Treatments, are subject to appointment availability.
13.2 You must provide at least 48 hours’ notice if you wish to cancel or reschedule a confirmed appointment.
13.3 If you cancel, reschedule, or fail to attend an appointment with less than 48 hours’ notice, Body Catalyst may treat the appointment as forfeited. For appointments booked under an Unlimited Service membership, a $69 late cancellation or non-attendance fee may be charged to your nominated payment method.
13.4 If a Credit-based Treatment is forfeited, the relevant Credits may be deducted from your account.
13.5 If an Unlimited Treatment appointment is forfeited, Body Catalyst may restrict your ability to book further Unlimited Treatments for a reasonable period or require prepayment, at its discretion.
13.6 Body Catalyst may cancel, reschedule or modify appointments due to staff availability, equipment availability, clinic operations, safety requirements, treatment suitability, or events outside our reasonable control.
Treatment Suitability and Safety
14.1 All Treatments are subject to consultation, assessment and suitability.
14.2 Body Catalyst may refuse, delay, modify or stop a Treatment if we reasonably consider that the Treatment is not suitable or safe for you.
14.3 You must disclose all relevant health, medical, medication, pregnancy, surgery, treatment and lifestyle information requested by Body Catalyst before receiving any Treatment.
14.4 You must follow all pre-treatment and post-treatment instructions provided by Body Catalyst.
14.5 Body Catalyst does not guarantee a particular treatment result, outcome, measurement change, aesthetic result, wellness result or timeframe.
Changes to Membership Benefits
15.1 Body Catalyst may update, replace, remove or vary Membership benefits, eligible Treatments, Credits required for Treatments, Unlimited Treatment rules, member offers, product discounts and other Membership inclusions from time to time.
15.2 Where Body Catalyst makes a material change to your Membership that significantly reduces the overall value of your Membership, Body Catalyst will provide reasonable notice where practical.
15.3 If a material change significantly impacts your Membership, you may contact Body Catalyst to discuss your options.
Notices
16.1 Notices from you to Body Catalyst must be provided by email to [email protected] or in writing to your nominated clinic.
16.2 Notices from Body Catalyst to you may be provided by email, SMS, phone, in-clinic communication, or in writing using the contact details provided in your Application.
16.3 You are responsible for ensuring your contact details remain current.
16.4 A notice sent by email is deemed to have been received when sent, unless Body Catalyst receives an automated delivery failure notification.
Privacy Policy
17.1 You acknowledge that Body Catalyst collects, uses and stores your personal information in accordance with its Privacy Policy available on the Body Catalyst website.
17.2 You consent to Body Catalyst using your contact details to communicate with you about your Membership, appointments, payments, offers, clinic updates and related services.
Warranty and Liability
18.1 Nothing in this Agreement excludes, restricts or modifies any rights, remedies, guarantees or warranties you may have under the Australian Consumer Law or any other applicable law that cannot lawfully be excluded, restricted or modified.
18.2 Body Catalyst provides Treatments and Services with due care and skill. However, you acknowledge that individual results vary and Body Catalyst does not guarantee any treatment result, outcome, measurement change, aesthetic result, wellness result, weight loss, fat reduction, skin result, body change or timeframe.
18.3 You acknowledge that the suitability and effectiveness of Treatments may depend on a range of individual factors, including but not limited to your health, medical history, medications, lifestyle, age, skin type, body composition, treatment frequency, aftercare compliance and individual biological response.
18.4 To the extent permitted by law, Body Catalyst is not liable for any loss, damage, injury, reaction, side effect, dissatisfaction, failure to achieve desired results, or other outcome arising from:
a. your failure to disclose accurate or complete health, medical, medication, pregnancy, surgery, treatment or lifestyle information;
b. your failure to follow pre-treatment or post-treatment instructions;
c. your failure to follow Body Catalyst’s reasonable recommendations or clinical guidance;
d. your decision to proceed with a Treatment against Body Catalyst’s advice;
e. your use of products, services, devices or treatments provided by another provider;
f. changes in your health, weight, body composition, medication, hormones, lifestyle or other personal circumstances; or
g. any matter outside Body Catalyst’s reasonable control.
18.5 To the extent permitted by law, Body Catalyst is not liable for indirect, consequential or economic loss, including loss of income, loss of opportunity, loss of profits, loss of enjoyment, emotional distress, disappointment or inconvenience arising from or connected with your Membership, Treatments, Services or this Agreement.
18.6 Where Body Catalyst’s liability cannot be excluded but may be limited by law, Body Catalyst’s liability is limited, at Body Catalyst’s option, to:
a. supplying the relevant Services again; or
b. paying the cost of having the relevant Services supplied again.
18.7 Body Catalyst’s liability to you will be reduced to the extent that your own acts, omissions, breach of this Agreement, failure to follow instructions, failure to disclose relevant information, or other conduct caused or contributed to the loss, damage, injury or outcome.
18.8 You acknowledge that Treatments are not medical procedures, are not a substitute for medical advice, diagnosis or treatment, and may not be suitable for every person. You should seek medical advice before commencing or continuing Treatments if you have any medical condition, concern, contraindication, injury, illness, pregnancy, recent surgery or uncertainty about your suitability.
18.9 You agree to notify Body Catalyst promptly if your health, medical status, medications, pregnancy status, treatment suitability or other relevant circumstances change during your Membership.
Membership Upgrade & Downgrade
Members may request to upgrade or downgrade their current membership to another available membership option, subject to the following terms:
Upgrades
Members may upgrade their membership at any time, subject to availability and eligibility. The new membership rate, inclusions and benefits will apply from the effective date of the upgrade. Any difference in membership fees or payments will be advised and agreed to before the upgrade is processed.
Downgrades
Members may request to downgrade their membership to another available membership option. Any downgrade is subject to the terms of the member’s current membership, including any applicable minimum commitment period, notice period or outstanding payments. The new membership rate, inclusions and benefits will apply from the effective date of the downgrade.
Changes to Membership
When upgrading or downgrading, the member agrees to the pricing, inclusions, payment frequency and terms and conditions applicable to their new membership. Any unused treatments, credits, benefits or inclusions from the previous membership may not transfer to the new membership however can be redeemed within expiry terms.
All membership change requests must be submitted through the approved Body Catalyst process and are subject to confirmation before taking effect.
Content Release
19.1 Body Catalyst may ask to take photographs, videos, audio recordings, written testimonials, treatment progress images, before-and-after images, or other content relating to you or your Treatments.
19.2 Body Catalyst will only use identifiable images, videos, testimonials or recordings of you for marketing, advertising, social media, website, training, promotional, educational or business purposes where you have provided your consent.
19.3 Where you provide consent, you grant Body Catalyst permission to use, reproduce, publish, edit, crop, adapt, distribute and display the approved content in any media, including but not limited to Body Catalyst’s website, social media channels, email marketing, digital advertising, printed material, clinic material, training material and other promotional or business communications
19.4 You acknowledge that Body Catalyst may edit, crop, resize, caption or otherwise adapt the content, provided it is not used in a way that is misleading, defamatory or materially changes the nature of your testimonial or treatment result.
19.5 You agree that you will not be entitled to payment, royalties, compensation or approval of each use of the content unless Body Catalyst agrees otherwise in writing.
19.6 You may withdraw your consent for future use of identifiable content by providing written notice to Body Catalyst. Withdrawal of consent will not affect any use, publication, distribution or material already produced, published, printed, scheduled or distributed before Body Catalyst received and processed your withdrawal request.
19.7 Body Catalyst will take reasonable steps to remove identifiable content from Body Catalyst-controlled digital platforms after receiving a valid withdrawal request, but you acknowledge that Body Catalyst may not be able to remove content that has already been shared, downloaded, copied, reposted, printed, distributed or published by third parties.
19.8 Body Catalyst may use de-identified or non-identifiable treatment images, data, results, measurements or information for internal training, education, service improvement, reporting, research, marketing or business purposes, provided you are not reasonably identifiable.
19.9 Nothing in this clause requires you to consent to marketing use of your image, video, testimonial or other identifiable content as a condition of becoming or remaining a Member, unless a specific promotion, campaign or offer expressly states otherwise
Consumer Law
18.1 Nothing in these Terms excludes, restricts or modifies any rights, remedies, guarantees or warranties you may have under the Consumer Law or any other applicable law that cannot lawfully be excluded, restricted or modified.
18.2 Where any term of this Agreement is inconsistent with your rights under the Consumer Law, your rights under the Consumer Law will prevail to the extent of the inconsistency
Severability of Terms and Governing Law
21.1 If any part of this Agreement is found to be invalid, illegal, void or unenforceable, that part will be severed and the remainder of the Agreement will continue in force.
21.2 This Agreement is governed by the laws of the State or Territory in which your nominated Body Catalyst clinic is located.
21.3 The parties submit to the jurisdiction of the courts of that State or Territory
